Terms of Service

By accessing or using Hubity ("the Service"), operated by Juno Maps, LLC d/b/a Hubity ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

Hubity is a business intelligence platform that provides conversational advisory, knowledge base management, team collaboration, daily briefings, and related services. The Service utilizes advanced language models to process your queries and provide contextual business insights.

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

You must be at least 18 years old and have the legal authority to enter into these terms on behalf of yourself or your organization.

We want Hubity to be fast, reliable, and fair for everyone. Legitimate, good-faith use within your plan is always welcome. To protect the Service and other customers, you agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to reverse-engineer, decompile, or extract the underlying AI models
• Upload malicious content, viruses, or harmful code
• Circumvent, disable, or interfere with usage limits, rate limits, seat counting, metering, billing, or other access or security controls
• Use the Service to generate content that is defamatory, abusive, or infringes on third-party rights
• Resell, sublicense, or redistribute the Service without written authorization
• Use automated systems to scrape or extract data from the Service, or place automated, scripted, or excessive load that exceeds your plan's limits or degrades the Service for others
• Create multiple or duplicate accounts, or use false, borrowed, or shared identities, to evade usage limits, seat counts, plan restrictions, or eligibility rules
• Share your account credentials with anyone outside your organization, or use a single seat for multiple individuals
• Misrepresent your identity, location, organization, or eligibility in order to obtain a free trial, promotional pricing, or any other benefit you are not entitled to (see Section 20)

We may investigate suspected abuse and, where warranted, throttle, suspend, or terminate access, and decline or reverse related credits, promotions, or trials, as described in Sections 16, 20, and 21. We apply these measures proportionately and in good faith, and they do not affect any non-waivable rights you have under applicable law.

You retain ownership of all content you upload to the Service, including documents, knowledge base items, and conversation content. We do not claim intellectual property rights over your data.

You grant us a limited license to process, store, and transmit your content solely for the purpose of operating and improving the Service. We do not use your proprietary business data to train AI models or share it with other customers.

The Service provides AI-generated responses based on your queries and uploaded knowledge. AI outputs are informational and should not be treated as professional advice (legal, financial, medical, or otherwise). You are solely responsible for decisions made based on AI-generated content.

We do not guarantee the accuracy, completeness, or reliability of AI-generated responses. Always verify critical information through appropriate professional channels.

Paid plans are billed on a per-seat, per-month basis. Annual plans are billed upfront for a 12-month period at a discounted rate. All prices are in USD.

Automatic renewal. Unless you cancel before the end of the current term, your subscription renews automatically for successive periods of the same length, and you authorize us and our payment processor to charge your payment method on file the then-current fee, plus any applicable taxes, for each renewal until you cancel. A free trial automatically converts to a paid subscription at the end of the trial period unless you cancel beforehand; we send a reminder before a trial ends, and we email a receipt for each charge. You are responsible for keeping your payment and contact information accurate.

Upgrades take effect immediately. Downgrades take effect at the end of your current billing period. We do not charge overage fees. Usage beyond your plan limits results in temporary access restrictions until the next billing period.

You may cancel your subscription at any time. Cancellation stops future renewals and takes effect at the end of your current billing period; you retain access until then. Cancellation is not retroactive and does not, by itself, refund amounts already billed for the current period. Refunds are provided at our discretion and in accordance with applicable law. If you are located in the European Union, you may cancel within 14 days of purchase for a full refund, unless you have expressly consented to the service beginning before the end of the cancellation period and acknowledged the loss of your right of withdrawal.

We strive for high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice of planned maintenance when possible.

The Service, including its design, code, algorithms, branding, and documentation, is the intellectual property of Juno Maps, LLC d/b/a Hubity and is protected by copyright, trademark, and other intellectual property laws. Nothing in these terms grants you rights to our intellectual property beyond the limited license to use the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, LEGAL, FINANCIAL, MEDICAL, OR TAX ADVICE. YOU USE THE SERVICE AND RELY ON AI-GENERATED OUTPUTS ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUNO MAPS, LLC D/B/A HUBITY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the total amount you paid us in the twelve (12) months preceding the claim. This limitation applies to all causes of action in the aggregate, including breach of contract, tort (including negligence), strict liability, and any other legal theory.

You agree to indemnify, defend, and hold harmless Juno Maps, LLC d/b/a Hubity, and its officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these terms; (c) your infringement of any third-party rights; (d) any content you upload, submit, or transmit through the Service; or (e) your reliance on AI-generated outputs for business decisions.

Informal Resolution First. Before filing any formal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration.If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Loudoun County, Virginia, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.

Consumers. If you use the Service as an individual for personal, family, or household purposes, the following apply instead of the Commercial Arbitration Rules above: any arbitration will be administered under the AAA Consumer Arbitration Rules; you may instead bring an individual claim in small-claims court if it qualifies; and any hearing will be held in your home county or by video or telephone, at your election. If you reside in the European Union, the United Kingdom, or another jurisdiction whose law gives you a non-waivable right to bring claims in your local courts, the binding-arbitration and venue provisions in this Section and in Section 18 do not apply to you, and you keep your statutory rights and forums.

YOU AND JUNO MAPS, LLC D/B/A HUBITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate or join more than one person's claims and may not preside over any form of a consolidated, representative, or class proceeding.

This waiver does not apply to the extent it is prohibited by applicable law, including for consumers in jurisdictions where class-action or collective-redress rights are non-waivable.

Neither party shall be liable for any failure or delay in performing its obligations under these terms to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: natural disasters, acts of government, pandemic, war, terrorism, civil unrest, power failures, internet or telecommunications outages, cyberattacks, or the unavailability of third-party AI model providers.

We may suspend or terminate your access to the Service at any time for violation of these terms, non-payment, or other reasonable cause. Upon termination, your right to use the Service ceases immediately. Following notice of termination, you will have at least 30 days to export your data before it is deleted.

Sections 5, 6, 9, 10, 11, 12, 13, 14, 18, 19, 20, 21, and 22 shall survive any termination or expiration of these terms.

We may update these terms from time to time. We will notify you of material changes via email or through the Service at least thirty (30) days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Service before they take effect.

These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law provisions. To the extent that litigation is permitted under these terms, exclusive jurisdiction and venue shall lie in the state and federal courts located in the Commonwealth of Virginia. This does not override the consumer exceptions in Section 13, and consumers keep any non-waivable right to the protections and courts of their country of residence.

If any provision of these terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these terms. The remaining provisions shall continue in full force and effect.

These terms, together with our Privacy Policy and any plan-specific terms, constitute the entire agreement between you and Juno Maps, LLC d/b/a Hubity regarding the Service. These terms supersede all prior agreements, representations, and understandings, whether written or oral, relating to the Service. You may not assign or transfer these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of all or substantially all of our assets. Our failure to enforce any provision of these terms shall not constitute a waiver of that provision.

From time to time we may offer free trials, discounts, promotional codes, or introductory or promotional pricing (collectively, "Promotions"). Promotions are offered at our discretion, are available for a limited time, and may be changed or withdrawn at any time before you purchase. Any Promotion is subject to these terms and to any additional terms stated in the offer.

One per customer. Unless we expressly state otherwise, each customer, organization or workspace, and billing account is eligible for a given Promotion only once. This includes any free trial and any first-time or introductory discount. Promotions are personal to the eligible customer, are non-transferable, have no cash value, and may not be combined with other offers unless we state otherwise.

Standard pricing after a Promotion. When a free trial or promotional period ends, your subscription continues automatically at the standard, non-promotional rate disclosed at sign-up unless you cancel beforehand, as described in Section 7.

No duplicate or repeat eligibility. You may not create multiple or duplicate accounts, or use multiple email addresses, payment methods, or identities, or otherwise misrepresent your eligibility, in order to obtain a free trial, promotional pricing, or another Promotion more than once. Where we determine that an account, customer, or payment method is not eligible for a Promotion (for example, because a trial or introductory offer has already been used), we may decline or remove the Promotion and charge the standard rate, void the Promotion, withhold or reverse the related discount or credit, and suspend or terminate the affected accounts.

Eligibility for a Promotion is part of the bargain for that Promotion. Obtaining or using a Promotion you are not eligible for, or after misrepresenting your eligibility, is a breach of these terms, and the resulting standard charge is valid. Nothing in this section limits any non-waivable rights you have under applicable law, including the European Union right of withdrawal described in Section 7.

By providing a payment method and starting a paid plan or trial, you authorize us and our payment processor to charge that payment method for your subscription and its automatic renewals, as described in Section 7, until you cancel. You confirm that you are authorized to use the payment method you provide.

Charges are valid for the plan you selected and for the period during which your account had access to the Service, whether or not you actively used it.

Please talk to us first. If you believe a charge is incorrect, contact us at [email protected] before disputing it with your bank or card issuer. We review billing concerns promptly and in good faith, and we will issue any refund or credit owed under these terms or applicable law.

We ask that you contact us before initiating a chargeback or payment dispute, so we can resolve the issue quickly; many disputes are billing misunderstandings we can correct directly. Where a charge is valid under these terms, we may present supporting evidence to your card network in response to a dispute. Nothing in these terms requires you to waive, and we will not penalize you for exercising, any right you have under applicable law or under your card network's rules, including any non-waivable consumer-protection or withdrawal rights.

These terms are written and executed in the English language. We may provide translations for convenience, but the English-language version is the authoritative and legally binding version. In the event of any conflict or inconsistency between the English version and any translation, the English version prevails.
